1. General
1.1 About Us
6 Solutions, Inc., doing business as InGenius and InGenius Data (together, “InGenius,” “we,” or “us”), provides data analytics, market intelligence, and customer relationship management (“CRM”) software-as-a-service products and related services (“Services”) through our website at ingenius-data.com and related applications (together, the “Site”).
1.2 Acceptance of Terms
By accessing the Site, you acknowledge and agree to be bound by these Terms and Conditions (“Terms”) and our Privacy Policy. Access to and use of the Services beyond general Site browsing requires execution of a written Service Agreement between the Client and InGenius. If additional terms apply to particular Services, those additional terms will be provided in the applicable Service Agreement. We may update these Terms from time to time, and the most current version will be accessible on the Site. Any changes are effective upon posting, and your continued use of the Site or Services constitutes acceptance of the updated Terms. In the event of a conflict between these Terms and a Service Agreement, the Service Agreement shall control.
1.3 Definitions
“Client” means any business entity that subscribes to or contracts for InGenius Services.
“User” means any individual who accesses the Site or Services, including Client employees, authorized agents, and visitors.
“Client Data” means any proprietary data entered by a Client or its Users into the CRM product or otherwise provided to InGenius in connection with the Services, excluding publicly available data sourced by InGenius.
“Platform Data” means data compiled, aggregated, or derived by InGenius from publicly available sources, including HMDA data, public real estate records, and publicly available professional information.
2. Users and Accounts
2.1 Eligibility
You must be at least 18 years old and have the legal capacity to form a binding contract to use our Services. By using the Site, you represent and warrant that you meet these requirements and that you are not barred from accessing or using the Services under any applicable law.
2.2 Account Registration
Access to the Services is available only to businesses and organizations that have entered into a written subscription agreement or order form with InGenius (a “Service Agreement”). The Services are not available for individual self-service sign-up. Upon execution of a Service Agreement, InGenius will provision account access for the Client and its designated authorized Users. Each User must provide accurate, current, and complete information as required during the account setup process. Users are responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their accounts. Clients and Users must notify InGenius immediately of any unauthorized use of an account. InGenius will not be liable for any loss arising from unauthorized use of your account.
2.3 Authorized Users
Clients may authorize individual Users to access the Services under the Client’s subscription. Clients are responsible for ensuring that all authorized Users comply with these Terms. The Client is responsible for the acts and omissions of its authorized Users to the same extent as if they were the Client’s own acts and omissions.
2.4 Right to Terminate Access
InGenius reserves the right to suspend, restrict, or terminate your access to the Site and Services at any time, with or without cause, in its sole discretion and without prior notice. Neither InGenius nor any third-party provider will have any liability in connection with such action.
3. Services
3.1 Growth Multiplier Platform
The Growth Multiplier platform provides mortgage industry analytics, loan officer recruiting intelligence, real estate agent relationship analytics, and fair lending/CRA compliance reporting. The platform leverages publicly available data sources, including HMDA data, to generate insights and reports. InGenius uses a proprietary, patent-pending data blending process to compile and deliver accurate, actionable intelligence.
3.2 CRM Product
The InGenius CRM is a software-as-a-service product that enables Clients and their authorized Users to manage contacts, relationships, and business workflows. Users may import Platform Data from the Growth Multiplier data set into the CRM and may also enter, manage, and store their own proprietary Client Data within the CRM. InGenius does not access, use, monitor, analyze, sell, or share Client Data beyond what is strictly necessary to provide and maintain the CRM service (including data storage, backup, security, and platform functionality). The Client retains sole ownership and control of all Client Data entered into the CRM and is solely responsible for the accuracy, legality, and appropriate use of such data.
3.3 CRM Integration and Data Export
Our Services include the ability to export Growth Multiplier data to third-party CRMs via API or file upload. Clients are responsible for ensuring that the use and transfer of exported data complies with all applicable laws and the terms of any third-party platforms.
3.4 Data Accuracy
While InGenius employs commercially reasonable efforts and proprietary processes to ensure data accuracy, we do not guarantee the completeness, accuracy, or timeliness of any Platform Data or reports. Platform Data is derived from publicly available sources that may contain errors or omissions. Clients should independently verify any data upon which they intend to make material business decisions.
3.5 Service Availability
InGenius will use commercially reasonable efforts to make the Services available 24 hours a day, 7 days a week, except during scheduled maintenance windows or due to circumstances beyond our reasonable control. We shall not be liable for any interruptions, delays, or errors in the Services outside of those defined in the applicable Service Agreement.
3.6 Modifications to Services
We reserve the right to modify, update, or discontinue any feature or aspect of the Services at any time, with or without notice. For material changes that adversely affect active subscriptions, we will make reasonable efforts to provide advance notice.
4. Data Ownership and Intellectual Property
4.1 InGenius Intellectual Property
All content, features, functionality, and intellectual property associated with the Site and Services, including but not limited to the Growth Multiplier platform, the CRM product, patent-pending data processes, software, algorithms, text, graphics, logos, trademarks, and trade names, are and shall remain the exclusive property of 6 Solutions, Inc. or its licensors. Nothing in these Terms grants you any ownership rights in the Site, Services, or Platform Data.
4.2 License to Use Services
Subject to your compliance with these Terms, the applicable Service Agreement, and payment of all applicable fees, InGenius grants the Client a limited, non-exclusive, non-transferable, revocable license to access and use the Services for the Client’s internal business purposes during the term of the Service Agreement. This license does not include the right to sublicense, resell, redistribute, or make the Services available to any third party except as expressly permitted in the Service Agreement. The scope of the license, including the number of authorized Users, permitted modules, and any usage limitations, shall be as set forth in the applicable Service Agreement or order form.
4.3 Client Data Ownership
Clients retain all ownership rights in their Client Data. By using the Services, the Client grants InGenius a limited, non-exclusive license to host, store, back up, and process Client Data solely for the purpose of providing and maintaining the Services. Upon termination of the Client’s subscription and following the data retrieval period, InGenius will delete Client Data in accordance with Section 8.3.
4.4 Platform Data
Platform Data is compiled and derived by InGenius from publicly available sources and is the proprietary property of InGenius. Clients may use Platform Data only in connection with the Services and for their internal business purposes. Clients may not redistribute, resell, publish, or otherwise make Platform Data available to third parties without prior written consent from InGenius.
4.5 Feedback
If you provide us with suggestions, ideas, or feedback regarding the Site or Services, you grant InGenius a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback for any purpose without obligation to you.
5. Prohibited Activities
Except as expressly permitted by these Terms, you agree not to:
- Make the Services or any data derived from the Services available to any third party, including via the internet, time-sharing, service bureau, or any similar arrangement.
- Bypass, breach, or attempt to circumvent any security measures protecting the Services.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of any software used in the Services.
- Use any robot, spider, scraper, or other automated means to access the Services or collect data without our express written permission.
- Interfere with, disrupt, or impose an unreasonable load on the Services or the underlying infrastructure.
- Use the Services to store or transmit any content that is unlawful, infringing, defamatory, or otherwise objectionable.
- Remove, alter, or obscure any proprietary notices, trademarks, or copyright notices from the Services or any data.
- Use the Services or Platform Data for competitive analysis, development of a competing product, or any purpose detrimental to InGenius.
- Use the Services for any purpose that violates applicable law, including but not limited to fair lending laws, anti-discrimination laws, or data protection regulations.
- Redistribute, resell, or sublicense Platform Data or access to the Services to any third party without prior written authorization.
- Use the Services to evaluate individual consumer creditworthiness or to make decisions about individual consumers for personal, family, or household purposes.
6. Fair Lending and Compliance
Certain features of the Services provide data and analytics related to Community Reinvestment Act (CRA) compliance, fair lending, race, ethnicity, Low-to-Moderate Income (LMI) percentages, and Majority-Minority Census Tract (MMCT) designations. This information is provided solely for business intelligence, compliance monitoring, and strategic planning purposes.
Clients are solely responsible for ensuring that their use of such data complies with all applicable federal, state, and local laws and regulations, including but not limited to the Fair Housing Act, Equal Credit Opportunity Act (ECOA), Home Mortgage Disclosure Act (HMDA), and Community Reinvestment Act (CRA). InGenius provides tools and data to support compliance efforts; it does not provide legal advice and does not guarantee regulatory compliance.
7. Marketing Communications
By submitting your contact information through the Site (including the Contact Us page, report request forms, and webinar registrations), you consent to receive marketing communications from InGenius, including but not limited to emails, newsletters, product announcements, and promotional materials. You may opt out of marketing communications at any time by using the unsubscribe link in any email or by contacting us at support@ingenius-data.com. Opting out of marketing communications does not affect transactional or service-related communications.
8. SMS/Text Messaging Terms
8.1 Program Description
InGenius Data, a service of 6 Solutions, Inc., may send SMS/text messages to Users and contacts who have opted in to receive such messages. Messages may include service notifications, appointment reminders, account alerts, follow-up communications, and marketing or promotional messages related to InGenius products and services. These messaging capabilities are intended for business-to-business communications in connection with the InGenius platform and CRM.
8.2 Message Frequency
Message frequency varies based on your interaction with the Services and your communication preferences. You may receive recurring messages. Message frequency will depend on the nature of your engagement with InGenius and the preferences set by you or your organization.
8.3 Message and Data Rates
Standard message and data rates may apply to any SMS/text messages sent or received, depending on your mobile carrier plan. InGenius is not responsible for any charges imposed by your carrier.
8.4 Opt-Out Instructions
You may opt out of receiving SMS/text messages at any time by replying STOP to any message you receive. For assistance, reply HELP to any message. You may also contact us at support@ingenius-data.com or (800) 807-9418 to manage your messaging preferences. Opting out of SMS messages will not affect other communications such as email or in-platform notifications.
8.5 Carrier Liability
Mobile carriers are not liable for any delayed or undelivered messages. InGenius makes no guarantees regarding the delivery or timeliness of SMS/text messages and shall not be liable for any failures or delays caused by carrier networks or technical issues beyond its reasonable control.
8.6 Privacy
Your privacy is important to us. Please refer to our Privacy Policy at [insert URL] for details on how we collect, use, and protect your information, including mobile phone numbers and messaging data.
9. Subscriptions, Payment, and Termination
9.1 Subscription Terms
Access to the Services requires a paid subscription governed by a Service Agreement between InGenius and the Client. Subscription terms, fees, payment schedules, and renewal provisions will be set forth in the applicable Service Agreement or order form. All fees are non-refundable except as expressly stated in the applicable Service Agreement.
9.2 Termination by Either Party
Either party may terminate a subscription in accordance with the terms of the applicable Service Agreement. InGenius may immediately terminate or suspend access to the Services if the Client or any of its Users breach these Terms, engage in fraudulent activity, or if termination is required by law.
9.3 Effect of Termination
Upon termination of a subscription, InGenius will provide the Client with access to retrieve Client Data for a period of thirty (30) days following the effective date of termination. After the retrieval period, InGenius will delete Client Data from its active systems within a commercially reasonable timeframe. Copies in routine backups may persist until the backup cycle expires. Platform Data access and all licenses granted under these Terms will cease upon termination.
10. Disclaimers
THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. InGenius does not warrant that the Services will be uninterrupted, error-free, or secure, or that any defects will be corrected. InGenius does not guarantee the accuracy, completeness, or timeliness of any Platform Data, reports, or analytics.
InGenius does not provide legal, financial, regulatory, or compliance advice. The Services and Platform Data are provided as business intelligence tools and should not be relied upon as the sole basis for regulatory compliance, employment, lending, or other material business decisions.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL 6 SOLUTIONS, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, arising out of or related to your access to or use of (or inability to access or use) the Site, Services, or any content, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, even if InGenius has been advised of the possibility of such damages.
UNLESS OTHERWISE SPECIFIED IN THE APPLICABLE SERVICE AGREEMENT, INGENIUS’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO INGENIUS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless 6 Solutions, Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site or Services; (b) your breach of these Terms; (c) your violation of any applicable law or regulation; (d) your use of Platform Data or Client Data; or (e) any claim that your Client Data infringes the rights of any third party.
13. Third-Party Links and Services
The Site may contain links to third-party websites, applications, or services. InGenius does not endorse, control, or assume any responsibility for the content, privacy policies, or practices of any third-party sites. Your interactions with third-party sites are solely between you and the third party. We encourage you to review the terms and privacy policies of any third-party service you access.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Broward County, Florida, and you consent to the personal jurisdiction of such courts.
15. Miscellaneous
15.1 Entire Agreement
These Terms, together with the Privacy Policy and any applicable Service Agreement or order form, constitute the entire agreement between you and InGenius with respect to the subject matter hereof and supersede all prior or contemporaneous agreements, representations, and understandings. In the event of a conflict between these Terms and a Service Agreement, the Service Agreement shall control.
15.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
15.3 Waiver
No failure or delay by InGenius in exercising any right under these Terms shall constitute a waiver of that right.
15.4 Assignment
You may not assign or transfer these Terms or any rights hereunder without InGenius’s prior written consent. InGenius may assign these Terms without restriction.
15.5 Force Majeure
InGenius shall not be liable for any failure or delay in performing its obligations under these Terms to the extent caused by events beyond its reasonable control, including but not limited to natural disasters, pandemics, acts of government, internet or telecommunications failures, power outages, or cyberattacks.
